Terms of Use

These Terms of Use ("Terms") govern your access to and use of SundaeDB (the "Service"), a software-as-a-service (SaaS) offering provided by AI-First Analytics, Inc. ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

Your use of the Service is also governed by our separate Privacy Policy.

1. The Service

SundaeDB is provided on a SaaS basis. Under the customer-managed database infrastructure model, you configure access details to your own PostgreSQL environment, and the Service executes supported operations on top of that environment.

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We make no commitment to maintain, support, update, or continue the Service or any specific feature.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

3. Access

The Service does not use accounts. Access to paid features is granted per request upon payment. You are responsible for:

• Safeguarding any wallet or payment credentials used by your agents.
• All activity initiated by agents acting on your behalf, including payments they authorize.
• The accuracy of information your agents submit, including the declared billing country.

We may block or restrict access at our sole discretion, including for abuse or unlawful use.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Interfere with or disrupt the Service or infrastructure
• Attempt to reverse engineer, decompile, or extract source code
• Infringe intellectual property or privacy rights
• Use the Service to develop competing products or services

We reserve the right to investigate and take appropriate action for violations.

5. Customer Database Responsibilities

You are solely responsible for provisioning, securing, and configuring any database system that you connect to the Service, including user accounts, credentials, network access, and backup policies.

You represent and warrant that you have sufficient rights to authorize SundaeDB to execute queries and upload operations using the credentials that you provide.

6. Intellectual Property

All rights, title, and interest in the Service, including software, documentation, and branding, are owned by AI-First Analytics, Inc. or its licensors.

These Terms grant a limited, non-exclusive, non-transferable, revocable right to use the Service as permitted by these Terms.

You retain rights to data and content you submit, and grant us a limited license to process it as needed to provide, maintain, and improve the Service.

7. Fees and Payment

Certain features are paid per request. Before a paid operation runs, the Service quotes an authorization maximum or flat price; by authorizing the payment, you agree to pay up to that amount.

• Payments are made in USDC stablecoin over the x402 protocol. Usage-based operations authorize a maximum up front and settle on-chain for actual consumption afterward, capped at that maximum. Flat-fee operations (such as sandbox provisioning) settle the quoted amount before execution.
• Authorized payments are non-refundable, including where an operation completes within its requested time or budget caps with partial results, except as required by law.
• Prices are tax-inclusive; we are responsible for remitting applicable sales taxes based on the billing country your agent declares and other evidence we collect.
• We may change pricing at any time; the price quoted for each request is the price you pay for that request.

Payment verification and settlement are performed by third-party facilitator services. We do not store payment card or bank information.

8. Quotas and Operational Limits

Paid operations are subject to per-request caps that your agent selects (such as maximum runtime and maximum AI budget per query), clamped to server-side maxima. Free operations may be rate-limited. Temporary sandbox databases expire automatically after their stated lifetime, and their contents are deleted.

These limits may be changed at our sole discretion.

9. Trials and Free Tiers

We may offer free trials or free-tier access at our discretion and may modify or discontinue such access at any time.

10. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

To the maximum extent permitted by law, we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and availability.

We do not guarantee uninterrupted operation, bug fixes, or prevention of data loss.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, consequential, special, or punitive damages.
• Our total liability for any claim does not exceed the amount paid for the Service in the preceding twelve (12) months.

12. Indemnification

You agree to indemnify and hold harmless AI-First Analytics, Inc. and its officers, directors, and employees from claims arising from your use of the Service or violation of these Terms or applicable law.

13. Termination

We may terminate or suspend access at any time, including for non-payment, without notice. Upon termination, your right to use the Service ceases immediately.

14. Governing Law and Venue

These Terms are governed by Delaware law. Disputes related to these Terms or the Service must be brought in state or federal courts in Delaware.

15. Changes to These Terms

We may update these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
